1. Introduction

1.1 This website is owned and operated by Lawcadia Pty Ltd (ACN 607 954 843) (“we, us, our”). By accessing and/or using this website and related services, you agree to these General Terms and Conditions for Website, which include our Privacy Policy (available here (“Terms”). You should review our these Terms carefully and immediately cease using our website if you do not agree to these Terms.

1.2 Lawcadia Pty Ltd (ACN 607 954 843) (“we, us, our“) provides procurement, reporting and management services to companies, and provides business development and management services to law firms. Our services are provided via our web-based platform – Lawcadia.com – which consists of three tools:

(a) a “Procurement Tool” – which allows companies to find and engage law firms
(b) a “Financial Reporting Tool” – which provides a framework for companies to review and manage their legal fees and spend, and assists law firms to manage their fees with their clients; and
(c) a “Rating System” – which is designed to build trust and accountability throughout the Lawcadia community.

1.3 These Terms govern the use of our website at Lawcadia.com by all users

1.4 Law firms and any of their partners, employees and contractors who register with Lawcadia.com will be bound by our Terms and Conditions for Law Firms. The Terms and Conditions for Law Firms can be accessed during the registration process, or can be requested by emailing us at [email protected]. If there is any inconsistency between these Terms and the Terms and Conditions for Law Firms, the Terms and Conditions for Law Firms shall prevail.

1.5 Companies who register with Lawcadia.com will be bound by our Terms and Conditions for Companies. The Terms and Conditions for Companies can be accessed during the registration process, or can be requested by emailing us at [email protected]. If there is any inconsistency between these Terms and the Terms and Conditions for Companies, the Terms and Conditions for Companies shall prevail.

1.6 All users of Lawcadia.com will be bound by our Privacy Policy, available on our website.

2. Registration

2.1 You may use our services only if you have completed the registration process on Lawcadia.com. By registering, you are agreeing to be legally bound by these Terms.

2.2 We retain the exclusive right to determine whether or not you will be permitted to use Lawcadia.com or any of our services. We may require you to submit a formal application for access to particular services and we may allow you access to some, but not all, of our services, at our discretion.

2.3 Access to Lawcadia.com and any of our services is provided “as is”. We make no warranties, express or implied representations or guarantees as to the merchantability and/or fitness for any particular purpose or otherwise with respect to Lawcadia.com or any of our services, their content, availability or functionality. In particular, we give no guarantee that Lawcadia.com or any of our services will operate error-free and you acknowledge that your use of Lawcadia.com and any of our services may be subject to errors, malfunctions, disruptions or other failures.

3. Accuracy, completeness and timeliness of information

3.1 The information on our website is not comprehensive and is intended to provide a summary of the subject matter covered. While we use all reasonable attempts to ensure the accuracy and completeness of the information on our website, to the extent permitted by law, we make no warranty regarding the information on our website. You should monitor any changes to the information contained on our website.

3.2 We are not liable to you or anyone else if interference with or damage to your computer systems occurs in connection with the use of this website or a linked website. You must take your own precautions to ensure that whatever you select for your use from our website is free of viruses or anything else (such as worms or Trojan horses) that may interfere with or damage the operations of your computer systems.

5.1 You shall use Lawcadia.com:

(a) in compliance with these Terms;
(b) in accordance with all applicable laws and regulations;
(c) honestly, ethically, professionally, transparently and in good faith; and
(d) in such a way as not to bring us or any other user of Lawcadia.com into disrepute.

5.2 In particular, you shall not:

(a) use or attempt to use any other user’s account without their express permission;
(b) infringe our intellectual property rights, including by using the name Lawcadia or our logos in any business name, email or URL (except as expressly permitted by these Terms or with our prior written consent);
(c) post anything that contains software viruses, worms or any other harmful code;
(d) copy or use the information, content, material or data on Lawcadia.com in connection with a competitive service;
(e) monitor Lawcadia.com’s availability, performance or functionality for any competitive purpose;
(f) access Lawcadia.com except through the interfaces expressly made available by Lawcadia.com; or
(g) override any security feature of Lawcadia.com

6. Intellectual property rights

6.1 All intellectual property rights (including all copyright, design rights, patents and innovation patents, trade marks and service marks, database rights, domain names, and any applications for the foregoing, know how, processes and business methods, whether or not registered or capable or registration and whether subsisting in Australia or any other part of the world) in or to Lawcadia.com and all information, content, material or data displayed on Lawcadia.com (including procurement, financial reporting and rating information) belong to us or our licensors and all such rights are reserved.

6.2 Lawcadia™ is a trade mark of ours. You may not use the name Lawcadia or represent that you are affiliated with us in any way except if you register with Lawcadia.com and you are specifically permitted to use the name Lawcadia pursuant to our Terms and Conditions for Companies or our Terms and Conditions for Law Firms (as applicable).

6.3 You may not and may not permit any third party to use, copy, modify, publish, extract, display, disclose, license, transfer, reproduce, or create derivative works from any information, content, material or data displayed on Lawcadia.com without our prior written consent. However, you may print, copy, download or store information, content, material or data displayed on Lawcadia.com for your own internal business operations, subject to the following conditions:

(a) you may not use any automated software, process, program or system, robot, web crawler, spider, data mining, trawling or other ‘screen-scraping’ software process, program or system;
(b) you must retain and may not remove any notices concerning copyright, trade mark or any other intellectual property ownership;
(c) no business names, logos, trade marks or service marks displayed on Lawcadia.com may be printed or downloaded, except as part of the text of which they form part; and
(d) you must ensure that the status of us or our licensors as authors of any information, material, data or information is acknowledged and attributed.

7. Privacy

7.1 All individuals who register with Lawcadia.com must disclose certain personal information to us in order to use Lawcadia.com. Such information is required in order for us to operate Lawcadia.com and to provide our services. These Terms include our Privacy Policy, with which all individuals who register with Lawcadia.com, whether as a law firm, a company or any other authorised user, shall be bound. We will collect, use and disclose your personal information in accordance with our Privacy Policy.

7.2 In the event that you disclose any personal information to us or any company or other user of Lawcadia.com, you are confirming that the individual to whom such information relates has agreed to the terms of the Privacy Policy. In the event that you or any of your Authorised Users do not agree to the terms of the Privacy Policy, you should immediately cease to access or use Lawcadia.com.

9. Governing Law

9.1 These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia. You agree to submit to the exclusive jurisdiction of the courts of New South Wales, Australia.
